End-User License Agreement (EULA) for Tawasal Business

1. Introduction
Please read this End-User License Agreement carefully before clicking the "I Agree" button, downloading, or using Tawasal Business.
2. Interpretation and Definitions
2.1 Interpretation
Words with capitalized initial letters have meanings defined under the following conditions. The definitions apply regardless of whether they appear in singular or plural.
2.2 Definitions
- "Agreement" means this EULA, forming the entire agreement between You and the Company regarding the use of the Application.
- "Application" refers to the Tawasal Business software program downloaded through an application store.
- "Application Store" means the Apple App Store or Google Play Store from which the Application was downloaded.
- "Company" (referred to as "We", "Us", or "Our") refers to Tawasal Information Technology LLC, a UAE-based company.
- "Content" refers to text, images, or any information uploaded or made available by You.
- "Country" refers to UAE.
- "Device" means any device that can access the Application, such as a smartphone, tablet, or desktop.
- "Third-Party Services" means services or content provided by third parties, available via the Application.
- "You" means the individual or legal entity accessing or using the Application.
3. Acknowledgment
By clicking "I Agree", downloading, or using the Application, You agree to be bound by this Agreement. If You do not agree, do not download or use the Application.
This Agreement is a legal document between You and the Company, governing the use of Tawasal Business. The Company is solely responsible for the Application and its content.
4. License
4.1 Scope of License
The Company grants You a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Application strictly in accordance with this Agreement.
4.2 License Restrictions
You agree not to:
- License, sell, rent, lease, assign, distribute, or commercially exploit the Application.
- Remove or modify copyright, trademark, or proprietary notices.
5. Intellectual Property
The Company owns all copyrights, patents, trademarks, trade secrets, and other intellectual property rights associated with the Application.
We are not obligated to indemnify or defend You against any third-party claims related to intellectual property infringement.
6. Modifications & Updates
6.1 Modifications to the Application
The Company reserves the right to modify, suspend, or discontinue any part of the Application at any time without notice.
6.2 Updates
The Company may release patches, bug fixes, updates, and other modifications. You agree that:
- Updates may modify or remove certain features.
- The Company is not obligated to provide updates or maintain certain features.
7. Maintenance & Support
The Company does not provide maintenance or support. If legally required, the Company (not the Application Store) is responsible for furnishing such support.
8. Third-Party Services
The Application may provide access to third-party services. You acknowledge that:
- The Company is not responsible for third-party content, accuracy, legality, or functionality.
- Third-party links are provided at your own risk.
You must comply with any third-party terms of use when accessing their services.
9. Termination
This Agreement remains in effect until terminated by You or the Company.
9.1 Termination by the Company
The Company may suspend or terminate this Agreement at any time without notice if You fail to comply with any provision.
9.2 Termination by You
You may terminate this Agreement by deleting the Application from your devices.
Upon termination:
- You must cease all use of the Application.
- The Company retains legal rights to seek remedies for any breaches.
10. Indemnification
You agree to indemnify and hold harmless the Company and its affiliates from any claims, including:
- Your use of the Application.
- Violation of this Agreement, laws, or third-party rights.
11. No Warranties
The Application is provided "AS IS" and "AS AVAILABLE", without warranties of any kind. The Company makes no guarantees regarding:
- Performance, reliability, or compatibility.
- Availability and error-free operation.
- Security against viruses, malware, or cyber threats.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to You.
12. Limitation of Liability
To the maximum extent permitted by law:
- The Company is not liable for indirect, incidental, special, or consequential damages.
- The total liability of the Company is limited to the amount You paid for the Application or $100 USD, whichever is lower.
Some jurisdictions do not allow certain liability exclusions, so parts of this section may not apply to You.
13. Severability & Waiver
13.1 Severability
If any provision of this Agreement is found invalid, the remaining provisions remain enforceable.
13.2 Waiver
Failure to enforce any provision of this Agreement does not constitute a waiver of future enforcement.
14. Product Claims
The Company makes no warranties concerning the Application. If You have claims related to:
- Product liability
- Legal compliance
- Consumer protection laws
You must address them with the Company, not the Application Store.
15. Changes to this Agreement
The Company reserves the right to modify this Agreement at any time. If a change is material, we will provide 30 days' notice.
By continuing to use the Application after revisions become effective, You agree to the updated terms.
16. Governing Law
This Agreement is governed by UAE laws. Your use of the Application may also be subject to other local, state, national, or international laws.
17. Entire Agreement
This Agreement constitutes the entire agreement between You and the Company. It supersedes all prior agreements regarding the Application.
If You use additional Company services, separate terms may apply.
